The board oversees the Group’s governance framework, reviews and approves the strategy, monitors management’s performance against agreed targets and ensures appropriate controls are in place and operating effectively. The board ensures leadership through effective oversight and review. Executive decisions, and development and implementation of strategy are delegated to management.

Board Committees

The board fulfils a number of its responsibilities directly and others through its committees.

Nomination Committee

Nomination Committee reviews board composition, leads the process for new board and committee appointments and reviews board succession planning process. READ MORE

Corporate Social Responsibility Committee

The Corporate Social Responsibility Committee reviews and approves G4S' CSR strategy or recommends policies to ensure that social responsibility remains an integral part of the strategy. The Committee also monitors compliance with corporate social responsibility processes. READ MORE

Risk Committee

Risk Committee advises the board on the Group's overall risk appetite and tolerance. It oversees the company's risk management framework and reviews its effectiveness and reviews major contracts and projects. READ MORE

Audit Committee

The Audit Committee oversees the financial reporting process and ensures the integrity of the company's financial statements. The Committee also monitors internal audit and approves external audit scope and fee as well as reviews and monitors external auditor's independence. READ MORE

Remuneration Committee

Remuneration Committee approves remuneration of chairman of the board, the executive directors and other executive committee and board members. It monitors level and structure of remuneration of other senior management of the Group. READ MORE
